Cross-border M&A Advisory

Represent either seller (sell side mandate) or investor (buy side), mostly are equity deal.
Prepare all marketing deliverables, modelling and valuation, structuring deal.
Approach prospective foreign investors and assist clients in evaluation for a suitable investor.
Oversee the due diligence process.
Negotiate on the client’s behalf and work together with legal adviser during the documentation, as well as assist client until financial closure.

Financial Restructuring

Review the business current situation, including the 3-5 year financial plan, mapping out the amount and timing of funding gaps, and determination of appropriate funding mix
On short-term plan, identify easy wins and fixes and development of cash management reporting to actively cash flows
For long term plan, articulate a clearly-defined equity story to be communicated to investors and analysts as well as actively manage the investors relations function
Streamline the internal financial reporting and improve the financial situations for value realisation at appropriate time

Capital Raising/Restructuring

Serving a broader base of both public traded corporate to private companies
Structure products and deal that suits with the customer’s needs and situation
Arrangements can be ranging from debt to equity and/or quasi-equity
Assist throughout the typical deal cycle until financial closure
Prepare of discussion materials/papers to rationalise the transaction for internal approvals and facilitate the shareholders or Board meeting, if needed

Investment Advisory

Manage capital and assets on behalf of offshore investors who are looking to invest into Vietnam and greater Indochina
Identify investment opportunities and prepare documentations to present to the Investment Committee and Fund Board of Directors for consideration
Actively monitor and manage the investment post-investment
Regularly provide the market and company updates to the Fund Board
Actively seek opportunities to realise the investment return to shareholders
